User Agreement for the Public Offer for the Paid Provision of Services of the Worken AI Service
This document is an integral part of the Public Offer, located online at https://worken.ru/public-offer, and governs the relationship between Taras Dmitrievich Yemelyanov, Sole Proprietor (TIN 550208876882, OGRNIP 323554300046870; legal address: 644045, Russian Federation, Omsk, Korolev Ave., 14B, Apt. 65; hereinafter referred to as the "Company"), and the person who has accepted the Offer (hereinafter referred to as the "User"). Collectively, hereinafter referred to as the "Parties."

1. Terms
1.1. The Worken AI Service is a SaaS platform available at https://worken.ru, designed for creating and operating virtual employees ("Virtual Workers") with access to external language models (LLM) and other tools.
1.2. A Virtual Worker is a software agent created by the User or provided through the Service marketplace that performs actions based on connected skills and integrations.
1.3. A Skill (Tool) is a module that provides functionality to a Virtual Worker (API access, TTS/STT, CRM, etc.).
1.4. A Worker is a conventional unit of account displayed in the Service interface to indicate the volume of services. 1 Worker = 1 Russian ruble. A Worker is not a currency, electronic money, or a surrogate currency. All payments are in Russian rubles.
1.5. OAuth Authorization - authorization/registration in the Service through a third-party provider. As of the date of this revision, Yandex ID is supported.
1.6. LLM Vendors - copyright holders of the language models to which the Service provides programmatic access: Russian - GigaChat, YandexGPT; International - OpenAI, Gemini, Claude, Azure OpenAI, Llama 3, Mistral AI, Cohere, etc.
2. Subject of the Agreement
2.1. The Company provides the User with access to the Service under the terms of the selected plan. The User agrees to comply with the Offer, this Agreement, and the Privacy Policy (https://worken.ru/privacy).
2.2. Services include:
- Creation/use of Virts;
- LLM operations (queries, generation, audio/video, etc.);
- TTS/STT;
- Storage of user knowledge bases;
- Virts and skills marketplace;
- API integrations.
3. Agreement Acceptance
3.1. The Agreement is considered accepted upon:
- Registration via OAuth and creation of a personal account;
- Payment of the plan or balance top-up;
- Actual use of the Service.
3.2. The Agreement is valid from the moment of acceptance until termination.
4. Registration and Access
4.1. To access, the User creates a Personal Account. OAuth provider - Yandex ID (others - at the discretion of the Company).
4.2. The User is responsible for their login/password and must notify the Company of any unauthorized access (security@worken.ru).
5. Rates, Workens, and Payments
5.1. The cost of services is indicated on the rates page at https://worken.ru/price-main. The balance and transaction costs are displayed in Workens.
5.2. Payment is made in advance. The balance is replenished with the equivalent in Workens.
5.3. The subscription renews automatically unless canceled in advance.
5.4. Expenses are displayed in your personal account in real time.
5.5. Refunds of the remaining balance are possible within 30 days after termination.
6. Rights and Obligations of the Parties
6.1. The User has the right to:
- Access 24/7;
- Disable auto-renewal;
- Request data deletion;
- Opt out of advertising.
6.2. The User is obligated to:
- Comply with Russian law and the Company's terms and conditions;
- Not post illegal or malicious content;
- Ensure confidentiality;
- Assess the risks of data transfer to LLM.
6.3. The Company reserves the right to:
- Change functionality;
- Suspend access;
- Block an account in case of violation;
- Engage contractors.
6.4. The Company is obligated to:
- Ensure technical availability;
- Eliminate failures;
- Process data in accordance with Federal Law No. 152.
7. LLM Vendors
7.1. Request data may be transferred to LLM vendors (Russian and foreign).
7.2. Acceptance of the Agreement also constitutes acceptance of the vendors' policies.
8. Intellectual Property
8.1. All rights to the Service and logo belong to the Company.
8.2. The User receives a non-exclusive right to use the Service.
8.3. The User guarantees the integrity of the rights to the posted content.
9. Personal Data
9.1. The Company is the PD operator and processes data in accordance with the privacy policy.
9.2. Cross-border data transfer is permitted.
10. Limitation of Liability
10.1. The Service is provided "as is." There is no guarantee of uninterrupted operation.
10.2. The Company is not liable for:
- LLM Content;
- Actions of third parties;
- Damages, except those expressly provided for by law.
11. Advertising Messages
The User consents to advertising notifications. Cancellation is possible, except for service messages.
12. Modification of Agreement
12.1. The Company reserves the right to amend the Agreement. The new version will be published on the website.
12.2. Continued use = consent. Disagreement = termination of use.
13. Termination
13.1. The user may terminate the agreement through the account or upon request (info@worken.ru).
13.2. The Company may terminate the Agreement in the event of violations or inactivity for more than 12 months.
13.3. The remaining balance will be refunded in accordance with the rules of Section 5.
14. Dispute Resolution
14.1. Negotiations and correspondence will be initiated first (info@worken.ru). Response period: 10 business days.
14.2. If unsuccessful, the court at the Company's location will be used.
14.3. Legal costs will be recovered from the losing party.
15. Validity, Assignment, and Applicable Law
15.1. The Agreement is valid indefinitely.
15.2. The User may not transfer rights without consent. The Company may do so with notice.
15.3. Russian law applies. Disputes will be heard in Russian courts.
